Token-to-Member Program
Sproutly introduces a unique bridge between Web3 participation and real-world governance through its Token-to-Member program. This mechanism allows long-term $SEED holders to burn tokens permanently in exchange for official membership in the Carbify Cooperative a legally registered entity under Dutch law.
Key Highlights:
Burn-to-Join: $SEED tokens are permanently burned to unlock co-op membership. This reduces circulating supply and strengthens the token economy.
Legal Membership: Members are officially recorded in the cooperative ledger and gain access to profit-sharing rights and governance participation as defined under Dutch cooperative law.
No Equity or Shares: This is not a tokenized share offering. Members receive membership units, not equity. Their rights are governed by the co-op statute and participation agreement.
Global Access: International participants are welcome, provided they complete KYC and sign the official Participation Agreement.
Compliance & Transparency: This program complies with EU standards and mirrors the structure used by major cooperatives like Rabobank.
Structure & Allocation
Total available to the community: 10% of the cooperative’s participation rights
Conversion rate: 1,000 $SEED burned = 0.0005% cooperative membership
Max allocation: 20,000,000 $SEED burned = 10% total participation
Each converted token is permanently removed from circulation and transparently recorded on-chain, with off-chain verification in the official members registry.
Strategic Opportunity
Carbify is preparing for a $3M Series A investment round with a projected $15–20M valuation. Members joining early via $SEED conversion lock in governance and profit rights at today’s lower token prices.
Member Benefits
Profit-sharing: Members receive a proportional share of the cooperative’s net profits
Governance Rights: Voting in general assemblies (per cooperative statutes)
On-chain Proof: Burn transactions linked to the off-chain members registry
Community Status: Exclusive access to the Investor Discord group and DAO-aligned input
